Introduction

These Terms and Conditions govern the use of Muvio Web (the web-based version of Muvio) and any related services, websites, AI tools, content generation services, and legal relationships with the Owner in a legally binding way.

The User must read this document carefully before using the Service.

TUNESPHERE SG PTE. LTD. is the legal entity operating the Service, specifically the web-based version of Muvio ("Muvio Web" or "Web Version").

The Owner may offer products, subscriptions, and digital services through the Web Version.

Eligibility

By using the Service, Users confirm that:

• They are legally capable of entering into binding agreements;
• They are not located in countries subject to U.S. embargo restrictions;
• They are not listed on prohibited or restricted party lists maintained by applicable governments;
• Their use of the Service complies with applicable laws and regulations.

Use of the Service

The Service includes the web application, AI-powered generation tools, music and video generation features, subscriptions, and related functionality accessible via web browsers.

Users agree to use the Service only for lawful purposes and in accordance with these Terms.

The Owner may modify, suspend, restrict, or discontinue portions of the Service at any time without prior notice where reasonably necessary.

AI-Generated Content

Muvio Web provides AI-powered tools capable of generating music, videos, images, lyrics, voices, text, and related content based on User inputs.

Users acknowledge and agree that:

• AI-generated outputs may contain inaccuracies, similarities, or unexpected results;
• Generated outputs may resemble content created for other users;
• The Owner does not guarantee uniqueness or copyright eligibility of generated content;
• Users are solely responsible for reviewing and evaluating generated outputs before publishing or commercial use.

The Service is provided as an assistive creative tool and does not constitute legal, copyright, business, or professional advice.

Ownership and Licensing

Muvio Web PRO subscribers may use generated Songs and Music Videos commercially during an active subscription period, subject to compliance with applicable laws and platform policies.

Free users may use generated content solely for personal and non-commercial purposes.

Users retain ownership of original materials they upload, including lyrics, images, audio, prompts, or other source materials.

The Owner does not provide copyright registration, copyright enforcement, or legal protection services for AI-generated outputs.

Commercial Use

Commercial Use includes but is not limited to:

• Monetized social media content;
• Advertising and promotional materials;
• Streaming distribution;
• Business or corporate usage;
• Paid client projects;
• Commercial apps, games, or films;
• Revenue-generating public performances.

User Responsibilities

Users are solely responsible for ensuring that uploaded or generated content does not:

• Infringe copyrights, trademarks, or intellectual property rights;
• Violate privacy or publicity rights;
• Contain unlawful, harmful, defamatory, abusive, or deceptive material;
• Violate applicable laws or platform rules.

Users assume full responsibility for any content uploaded, generated, published, distributed, or monetized through the Service.

Web Version and Online Payments

These Terms and Conditions apply exclusively to the web-based version of Muvio ("Muvio Web" or "Web Version"). The Service may also have separate mobile applications, but this agreement does not govern the use of those applications.

The Web Version may provide access to subscriptions, premium features, digital services, AI generation credits, or other paid functionality.

Payments made through the Web Version are securely processed by third-party payment providers. To offer a secure checkout experience, we currently support payments via Stripe as our primary payment processor for the Web Version. (PayPal is not supported.)

By purchasing through the Web Version, Users acknowledge and agree that:

• Payment processing is handled by Stripe (the "Payment Processor") and its authorized partners;
• The Owner does not directly store full payment card information;
• Users must provide accurate billing information when prompted by the Payment Processor;
• Transactions may be subject to fraud prevention, identity verification, and risk checks performed by the Payment Processor;
• Access to paid services may be suspended or terminated for failed payments, suspected abuse, fraudulent activity, chargebacks, or violation of these Terms.

Stripe

When you choose to pay via Stripe, your payment information (including card details, billing address, and transaction data) is collected and processed directly by Stripe, Inc. and its affiliates in accordance with Stripe’s services agreement and privacy policy. Stripe may use your information to complete the transaction, prevent fraud, provide dispute resolution, and comply with financial regulations. We do not store your full Primary Account Number (PAN), CVV, or card expiration date on our systems. General Payment Terms for Web Purchases

By completing a payment through Stripe on the Web Version, you authorize us to charge the applicable fees to the payment method you have selected. You also agree that:

• You will not use any payment mechanism that you are not lawfully authorized to use;
• You are responsible for any taxes, fees, or currency conversion costs imposed by your financial institution or by the Payment Processor;
• Recurring subscriptions purchased via the Web Version will automatically renew at the end of each billing cycle unless you cancel before the renewal date through your account settings or by contacting the Payment Processor directly;
• We reserve the right to change pricing, subscription plans, or payment terms for future billing cycles after providing reasonable notice where required by applicable law.

If you believe an unauthorized transaction has occurred using your payment method, you should immediately contact both us and the Payment Processor (Stripe). We will cooperate with the Payment Processor to investigate and resolve valid claims in accordance with applicable rules and regulations.

Subscriptions and Billing

Certain features of the Service may require subscriptions or one-time payments.

Subscription pricing, billing cycles, available features, and payment methods are defined within the Web Version.

Web subscriptions may renew automatically unless canceled before the renewal date.

Unless otherwise required by applicable law:

• Subscription fees are non-refundable after a billing cycle begins;
• Partial billing periods are not refundable;
• Users are responsible for managing subscription cancellations before renewal dates.

Refunds and Chargebacks

Web Version payments processed through Stripe may be reviewed on a case-by-case basis subject to applicable laws and internal policies. Unauthorized chargebacks or payment disputes may lead to suspension of your account and the loss of access to paid features.

The Owner reserves the right to suspend or terminate access to paid services in cases involving fraudulent transactions, abuse, or payment chargebacks.

Prohibited Activities

Users agree not to:

• Use the Service for illegal or fraudulent activities;
• Generate harmful, hateful, sexually exploitative, or abusive content;
• Impersonate individuals or organizations;
• Upload malware, malicious code, or harmful software;
• Attempt to reverse engineer or exploit the Service;
• Use automated systems to abuse the platform;
• Violate intellectual property rights or privacy rights.

The Owner reserves the right to remove content, suspend accounts, terminate access, or report unlawful activity to competent authorities where appropriate.

Third-Party Services

The Service may contain integrations, advertisements, or links to third-party websites and services.

The Owner does not control and is not responsible for third-party content, availability, products, services, or policies.

Termination

The Owner reserves the right to suspend or terminate access to the Service at any time where reasonably necessary for security, abuse prevention, legal compliance, fraud prevention, or violation of these Terms.

Users may stop using the Service at any time and may cancel subscriptions through the platform used for purchase.

Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

To the maximum extent permitted by law, the Owner disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, availability, security, reliability, and accuracy.

The Owner does not guarantee uninterrupted operation, error-free functionality, or that generated content will meet Users' expectations or legal requirements.

Limitation of Liability

To the fullest extent permitted by applicable law, the Owner and its affiliates shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages arising from use of or inability to use the Service.

This includes damages relating to:

• Loss of revenue or profits;
• Loss of business opportunities;
• Loss of data or generated content;
• Service interruptions;
• Unauthorized access or security breaches;
• Errors or inaccuracies in generated outputs.

In no event shall the total liability of the Owner exceed the amount paid by the User during the preceding 12 months.

Indemnification

Users agree to defend, indemnify, and hold harmless the Owner and its affiliates from any claims, liabilities, damages, losses, costs, or expenses arising from:

• User content;
• User violations of these Terms;
• Violation of laws or third-party rights;
• Commercial use of generated content;
• Unauthorized or unlawful activities connected to the Service.

Privacy

Use of personal information is governed by the Privacy Policy of the Service. Please refer to our Privacy Policy for more details on how we collect, use, and protect your data.

Changes to the Terms

The Owner reserves the right to update or modify these Terms at any time.

Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws applicable in the jurisdiction where TUNESPHERE SG PTE. LTD. is established, without regard to conflict of law principles.
